Terms of Service

These Terms of Service ("Terms") govern your access to and use of ThinkingMemoryCloud (the "Service"), operated by ThinkingDBx Pvt. Ltd. (CIN U62011TS2025PTC206211), a company incorporated in Hyderabad, India ("ThinkingDBx", "we", "us"). By creating an account or using the Service you agree to these Terms.
1. The Service
ThinkingMemory Cloud is a hosted, multi-tenant memory database for AI agents, providing a recall API, lifecycle management, audit, and related features. We may add, change, or remove features over time.
2. Accounts & eligibility
You must provide accurate registration information and are responsible for safeguarding your credentials and API keys, and for all activity under your account. You must be at least 18 years old and able to form a binding contract. You are responsible for the activity of any agents or applications you connect to the Service.
3. Acceptable use
You agree not to:
- use the Service in violation of any law or third-party rights;
- store unlawful content, or personal data you are not authorised to process;
- attempt to breach tenant isolation, probe, or disrupt the Service or its infrastructure;
- resell or provide the Service to third parties except as permitted by your plan;
- exceed or circumvent the limits, quotas, or rate limits of your plan.
4. Plans, fees & billing
Paid plans and their limits are described on our pricing page. Fees are billed in advance on a recurring basis (monthly unless stated otherwise) and are stated exclusive of taxes unless noted. Our order process and payments are handled by our Merchant of Record, Paddle.com Market Ltd.("Paddle"), who is the seller of record for your purchase; Paddle's buyer terms also apply to transactions. You authorise recurring charges until you cancel. Refunds and cancellations are governed by our Refund & Cancellation Policy.
5. Free tier
We may offer a free tier with limited quotas. We may change or discontinue the free tier at any time. Free-tier accounts may be subject to additional usage limits.
6. Your data
You retain all rights to the content you store in the Service ("Your Data"). You grant us a limited licence to host, process, and transmit Your Data solely to provide and maintain the Service. Our handling of personal data is described in our Privacy Policy.
7. Intellectual property & open source
The Service, excluding Your Data, is owned by ThinkingDBx and its licensors. The core ThinkingMemory engine is available separately under the Apache-2.0 licence; your use of the hosted Service is governed by these Terms.
8. Service availability
We aim for high availability but the Service is provided on an "as available" basis. Formal uptime commitments (SLA) are offered only under an Enterprise agreement.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, ThinkingDBx will not be liable for any indirect, incidental, or consequential damages, or loss of data, revenue, or profits. Our aggregate liability for any claim is limited to the amounts you paid for the Service in the three (3) months preceding the claim.
11. Termination
You may stop using and cancel the Service at any time. We may suspend or terminate access for breach of these Terms or to comply with law. On termination, Your Data may be deleted after a reasonable period; export options are available on request.
12. Changes
We may update these Terms; material changes will be notified via the Service or email. Continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of India, and you submit to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.
